Job Description
Dorsey & Whitney LLP is seeking a Private Investment Funds Associate with four to five years of experience to join the Corporate Group in our New York office. This associate will work with sponsors of and investors in alternative investment funds (including venture, private equity, and real estate funds) and other investment vehicles in structuring, offering, management, investing and related regulatory matters. This is an excellent partnership-track position for someone with an interest in joining a fast-paced funds practice with substantial client contact, professional development support, and opportunities for business development.

The following qualifications are required:
- Four to five years of focused experience in fund formation, either on sponsor side or investment side, preferably both
- Significant drafting experience and skills in drafting investment fund documentation, including Private Placement Memoranda, Subscription Agreements, Partnership Agreements, joint venture agreements side letters, opinions and back-up certificates, amendments, Management Company Agreements, General Partner Operating Agreements
- Basic understanding of related tax (UBTI and ECI), ERISA, and real estate issues, and working knowledge of 1933 Act (Regulation D, etc.), Investment Company Act, Investment Advisors Act, Delaware LLC and Limited Partnership law, and public plan sunshine statutes
- Exhibited desire and ability to take responsibility for involvement in all aspects of formation and closing matters for a fund and ongoing administration of funds (including transfers of interests)
- A JD degree from an ABA-accredited law school
- Strong academic performance
- New York bar admission
